1. Scope
These General Terms and Conditions (GTC) govern the use of the software Inventaris — an application provided in the browser for inventory, loan and return management — by the customer (hereinafter "customer"). The provider is Swyron GmbH (hereinafter "Swyron").
They apply to all contracts concerning Inventaris, including the free trial period, and take precedence over any conflicting terms of the customer. Deviations apply only if Swyron agrees to them in writing.
2. Provider and contact
The contracting party is Swyron GmbH (limited liability company), domiciled in Switzerland. Enquiries regarding the contract, invoices and operation should be directed to the contact details given on the website.
3. Conclusion of contract and trial period
The contract is concluded when the customer opens an account and confirms use. Every registration begins with a free trial period of 30 days, without a credit card. After the trial period ends, nothing is charged automatically; the customer actively decides whether to take out a paid subscription.
By taking out a paid subscription, the customer confirms that they have read and accept these GTC.
4. Scope of services
Swyron provides Inventaris as Software as a Service (SaaS) over the internet. The application runs in the browser. No server of the customer's own is required. The data is held in a data centre in Switzerland.
The range of functions depends on the chosen subscription (Starter, Pro, Enterprise). Swyron continuously develops Inventaris further and may add, improve or — with reasonable prior notice — adjust functions, as long as the core benefit owed under the contract is preserved.
Interfaces to the customer's systems (such as Microsoft 365, device management, network) are, where offered, read-only. The exception is notifications in the Microsoft Teams activity feed, which the customer can switch on and off; beyond this, Inventaris does not write to these third-party systems.
5. Availability and maintenance
Inventaris is designed for high availability. A specific percentage availability is not guaranteed. Maintenance work is announced in advance where possible and scheduled for periods of low usage.
Temporary restrictions due to maintenance, disruptions at upstream suppliers or events outside Swyron's control (force majeure) do not constitute a defect.
6. Rights of use
Swyron grants the customer, for the duration of the contract, a non-exclusive, non-transferable and non-sublicensable right to use Inventaris to the agreed extent. All rights in the software remain with Swyron.
The data recorded by the customer remains their property. The customer can export their data themselves at any time (for example as CSV).
7. Obligations of the customer
The customer
- manages their own accounts and roles and keeps access credentials secret;
- ensures adequate IT security on their side (up-to-date devices, secure passwords, a second factor where sensible);
- records data correctly and uses Inventaris only within the framework of applicable law;
- reports disruptions and irregularities within a reasonable time.
The customer is responsible for ensuring that they are entitled to process the personal data recorded in Inventaris.
8. Prices, billing and payment
The prices of the chosen subscription as stated on the website apply. All prices are in Brazilian reais. The monthly amount is stated; billing takes place once a year in advance. Payment is made by boleto bancário, boleto híbrido or Pix.
Billing is based on the calendar year (1 January to 31 December). If the customer joins during the year, the remainder of the current year is billed on a pro rata basis; from 1 January, billing runs for the full calendar year up to 31 December.
Invoices are payable within 30 days. In the event of late payment, Swyron may restrict or block access after a reminder; the payment obligation remains in force. Price changes are announced with reasonable notice before the start of the next calendar year.
9. Term, renewal and termination
The subscription runs until 31 December of the respective year. Without termination, it automatically renews for a further calendar year each time.
Termination is possible no later than three months before the end of the current term — that is, by 30 September; it takes effect on 31 December. The trial period expires without termination.
Amounts already paid are not refunded in the event of ordinary termination at the end of the term. The right to extraordinary termination for good cause is reserved to both parties.
10. Services alongside the subscription
Services beyond the subscription — such as importing existing lists, training or data migrations — are provided by Swyron on request and on a time-and-materials basis. The price is stated in advance.
11. Data, data protection and confidentiality
The handling of personal data is described in the privacy policy. In so far as Swyron processes personal data on behalf of the customer, it makes a data processing agreement (DPA) available, which is publicly accessible on this website.
Both parties treat the other party's confidential information as confidential and use it only for the performance of the contract.
12. Liability
Swyron is liable without limitation for damage arising from intent and gross negligence, as well as for damage arising from injury to life, body or health.
In the case of slight negligence, Swyron is liable only for the breach of material contractual obligations and limited to the foreseeable damage typical for this type of contract. Swyron is not liable for indirect damage, lost profit or data loss that would have been avoidable with proper data backup.
Mandatory statutory liability remains unaffected.
13. Changes to these terms and to the services
Swyron may change these GTC and the scope of services with effect for the future, in particular in the event of a changed legal situation, technical developments or adjustments to the service. Changes are announced with reasonable notice.
If a change is disadvantageous to the customer to more than an insignificant extent, the customer may terminate the contract, effective as of the date the change takes effect, up until that point. If the customer continues to use Inventaris after that, the amended terms are deemed to be accepted.
14. Final provisions
Swiss law applies, excluding the conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is, to the extent legally permissible, the registered office of Swyron GmbH.
Should any provision of these GTC be invalid, the remainder of the contract remains valid; the invalid provision is replaced by a provision that comes closest to its economic purpose.
These GTC exist in several language versions. In the event of contradictions, the German version prevails.
